Wellington Partly Paid Share Scheme

Wellington Drive Technologies Ltd has established a Partly Paid Share Scheme (the "Scheme”) to enable key employees of the Company and its subsidiaries to acquire ordinary shares in the Company from time to time through the Scheme Trustee, Wellington Drive Technologies Share Scheme Trustee Limited (the “Trustee”). The Scheme has been established pursuant to Listing Rule 7.3.6 (Employee Share Issues).

The Board believes that the Scheme fulfils an important role in creating an alignment of interests between the Company’s key employees and its shareholders, through incentivising those key employees to grow the value of the Company over the medium term. It is anticipated that the Scheme will also assist the Company to attract, motivate and retain key employees.
